瀘州老窖供應(yīng)商行為準(zhǔn)則(Luzhou Laojiao Supplier Code of Conduct)
瀘州老窖股份有限公司(以下簡稱“瀘州老窖”或“公司”)承諾踐行最高標(biāo)準(zhǔn)的勞動權(quán)益、人權(quán)、環(huán)境責(zé)任和道德行為,要求其所有供應(yīng)商在所有事務(wù)中均遵守相關(guān)法律法規(guī),并以道德標(biāo)準(zhǔn)行事,特此制定《瀘州老窖供應(yīng)商行為準(zhǔn)則》(以下簡稱“本準(zhǔn)則”),致力于與供應(yīng)商攜手一同打造可持續(xù)供應(yīng)鏈。
Luzhou Laojiao Co., Ltd. (hereinafter referred to as "Luzhou Laojiao" or the "Company") commits to practicing the highest standards of labor rights, human rights, environmental responsibility, and ethical conduct. The Company requires all its suppliers to comply with relevant laws and regulations in all matters and to act according to ethical standards. This Supplier Code of Conduct for Luzhou Laojiao (hereinafter referred to as "this Code") is hereby established, dedicated to collaborating with suppliers to build a sustainable supply chain.
1 目的
1 Purpose
本準(zhǔn)則旨在明確瀘州老窖對供應(yīng)商的企業(yè)社會責(zé)任管理要求,確保供應(yīng)商采用符合社會責(zé)任的方式生產(chǎn)產(chǎn)品或提供服務(wù),促進(jìn)產(chǎn)業(yè)鏈的可持續(xù)發(fā)展。
This Code aims to clarify Luzhou Laojiao's corporate social responsibility management requirements for suppliers, ensuring that suppliers produce goods or provide services in a socially responsible manner and promoting the sustainable development of the industrial chain.
2 適用范圍
2 Scope of Application
本準(zhǔn)則適用于公司及子公司的產(chǎn)品及/或服務(wù)的所有供應(yīng)商。
This Code applies to all suppliers providing products and/or services to the Company and its subsidiaries.
3 遵守的法律法規(guī)
3 Compliance with Laws and Regulations
供應(yīng)商應(yīng)嚴(yán)格遵守其所在國家、地區(qū)的所有適用的法律、法規(guī)及條例,包括但不限于與商業(yè)道德、勞工和人權(quán)、環(huán)境保護(hù)、職業(yè)健康與安全相關(guān)的法律法規(guī),并以負(fù)責(zé)任的方式行事。
Suppliers shall strictly comply with all applicable laws, regulations, and ordinances of their respective countries and regions, including but not limited to those related to business ethics, labor and human rights, environmental protection, and occupational health and safety. Suppliers shall act responsibly.
4 商業(yè)道德
4 Business Ethics
遵守法律法規(guī):供應(yīng)商經(jīng)營業(yè)務(wù)時必須遵守業(yè)務(wù)所在地區(qū)所有適用的反腐敗相關(guān)法律法規(guī),并保持良好的公司治理;
杜絕賄賂:供應(yīng)商應(yīng)對任何賄賂與貪污行為采取零容忍政策,應(yīng)制定相關(guān)政策,內(nèi)容涵蓋利益的收受、對政府官員的付款、慈善捐款和贊助、娛樂及企業(yè)接待、貸款等規(guī)定;
公平競爭:供應(yīng)商應(yīng)支持誠信、開放、公平、競爭性的商業(yè)環(huán)境,禁止參與圍串標(biāo),禁止弄虛作假或其他不正當(dāng)、不誠信行為;
利益沖突:供應(yīng)商應(yīng)采取措施避免一切形式的利益沖突行為,規(guī)范員工職責(zé)邊界;
信息安全與保密:供應(yīng)商應(yīng)保護(hù)并正當(dāng)使用保密信息,確保公司和業(yè)務(wù)伙伴的機(jī)密信息及有效知識產(chǎn)權(quán)受到保護(hù),不得從事會侵犯公司或他人知識產(chǎn)權(quán)或損壞公司聲譽(yù)的任何活動。同時,如果供應(yīng)商承擔(dān)的合同或法律義務(wù)要求其不泄露與其他任何一家公司有關(guān)的信息,則供應(yīng)商不得向公司的任何員工透露相關(guān)信息。
Compliance with Laws: Suppliers must adhere to all applicable anti-corruption laws and regulations in their operating regions and maintain good corporate governance.
Zero Tolerance for Bribery: Suppliers shall adopt a zero-tolerance policy toward any bribery or corruption. They shall establish policies covering the acceptance of benefits, payments to government officials, charitable donations, sponsorships, entertainment and corporate hospitality, loans, etc.
Fair Competition: Suppliers shall support an honest, open, fair, and competitive business environment. They are prohibited from bid-rigging, fraud, or any other unfair or dishonest practices.
Conflict of Interest: Suppliers shall take measures to avoid all forms of conflict of interest and define clear boundaries for employee responsibilities.
Information Security and Confidentiality: Suppliers shall protect and properly use confidential information, ensuring the confidentiality of the Company's and business partners' information and intellectual property rights. They shall not engage in any activities that infringe upon the Company's or others' intellectual property or damage the Company's reputation. If contractual or legal obligations require confidentiality regarding any other company, suppliers shall not disclose such information to any employee of the Company.
5 勞工和人權(quán)
5 Labor and Human Rights
遵守法律法規(guī):供應(yīng)商應(yīng)嚴(yán)格遵守運營所在地及國家有關(guān)勞工和人權(quán)的法律和法規(guī),并遵循國際勞工組織(ILO)規(guī)定的核心勞工標(biāo)準(zhǔn);
禁止雇傭童工:供應(yīng)商不得在任何情況下禁止雇傭任何形式的童工(不滿16周歲的未成年人);
禁止強(qiáng)迫勞動和販賣人口:供應(yīng)商應(yīng)杜絕任何形式的強(qiáng)迫勞工和販賣人口;
公平雇傭與反歧視:供應(yīng)商為員工提供平等的機(jī)遇和待遇,不得因種族、膚色、年齡、宗教、性別、懷孕、殘疾等情況歧視或騷擾個人,包括但不限于聘用、雇傭、培訓(xùn)、調(diào)動、晉升、薪酬和解雇;
工作時間、薪酬與福利:供應(yīng)商應(yīng)確保及時向雇員支付合理的薪酬,不應(yīng)低于當(dāng)?shù)胤ǘǖ淖畹托劫Y;供應(yīng)商應(yīng)確保雇員有合理的休息時間,并享受相關(guān)法律規(guī)定福利待遇,每月按約定發(fā)薪日向雇員支付合理的薪酬;
反騷擾:供應(yīng)商不應(yīng)實施體罰、暴力威脅,或以身體、性、心理或言語等形式的虐待作為在工作場地執(zhí)行紀(jì)律或進(jìn)行控制的方法;
結(jié)社自由與集體談判:供應(yīng)商應(yīng)尊重員工結(jié)社自由和集體談判的權(quán)利。
Compliance with Laws: Suppliers shall strictly comply with local and national laws and regulations concerning labor and human rights and adhere to the core labor standards set by the International Labour Organization (ILO).
Prohibition of Child Labor: Suppliers shall not employ any form of child labor (minors under 16 years of age) under any circumstances.
Prohibition of Forced Labor and Human Trafficking: Suppliers shall eliminate all forms of forced labor and human trafficking.
Fair Employment and Non-Discrimination: Suppliers shall provide equal opportunities and treatment to employees. Discrimination or harassment based on race, color, age, religion, gender, pregnancy, disability, etc., is prohibited in recruitment, hiring, training, transfer, promotion, compensation, and termination.
Working Hours, Compensation, and Benefits: Suppliers shall ensure timely payment of reasonable wages to employees, not lower than the local statutory minimum wage. Employees shall have reasonable rest periods and enjoy legally mandated benefits. Wages shall be paid on the agreed date each month.
Anti-Harassment: Suppliers shall not use corporal punishment, threats of violence, or physical, sexual, psychological, or verbal abuse as methods of discipline or control in the workplace.
Freedom of Association and Collective Bargaining: Suppliers shall respect employees' rights to freedom of association and collective bargaining.
6 環(huán)境保護(hù)
6 Environmental Protection
遵守法律法規(guī)及體系認(rèn)證:供應(yīng)商應(yīng)當(dāng)滿足運營所在地及國家的環(huán)境法律法規(guī)要求,應(yīng)取得并按時更新所有必需的環(huán)保手續(xù),并遵守其規(guī)定,鼓勵按照ISO 14001、ISO 50001等標(biāo)準(zhǔn),建立和認(rèn)證環(huán)境相關(guān)管理體系。
綠色運營:供應(yīng)商需嚴(yán)格遵守相關(guān)的污染物(包括一般固體廢棄物、危險廢棄物、廢水、廢氣、噪聲等)防治標(biāo)準(zhǔn),確保將生產(chǎn)過程中產(chǎn)生的污染物達(dá)標(biāo)排放/合規(guī)處置。
溫室氣體減排:供應(yīng)商應(yīng)監(jiān)控、記錄自身能源消耗和溫室氣體情況,制定并實施全面的溫室氣體減排計劃,通過提高能效、采用清潔能源和優(yōu)化生產(chǎn)流程等措施,持續(xù)降低溫室氣體排放。
環(huán)境影響:供應(yīng)商應(yīng)考慮日常業(yè)務(wù)決策中對環(huán)境的潛在影響,盡量避免對運營所在地的生物多樣性造成破壞,避免砍伐森林,保護(hù)土地資源;
資源循環(huán)利用:供應(yīng)商應(yīng)通過節(jié)能、重復(fù)/循環(huán)使用、替代等方法盡可能減少各類能源及水資源的消耗,并盡可能多的使用可再生能源。
Compliance and Certification: Suppliers shall meet all local and national environmental legal requirements. They must obtain and timely renew all necessary environmental permits and comply with their provisions. Establishing and certifying environmental management systems according to standards such as ISO 14001 certification and ISO 50001 certification is encouraged.
Green Operations: Suppliers shall strictly comply with pollution prevention standards (covering general solid waste, hazardous waste, wastewater, exhaust gases, noise, etc.) to ensure that pollutants generated during production are discharged/disposed of compliantly.
Greenhouse Gas Reduction: Suppliers shall monitor and record their energy consumption and greenhouse gas emissions. They shall develop and implement comprehensive greenhouse gas reduction plans, continuously lowering emissions through energy efficiency improvements, clean energy adoption, and production process optimization.
Environmental Impact: Suppliers shall consider the potential environmental impact of daily business decisions, avoid damaging local biodiversity and deforestation, and protect land resources.
Resource Recycling: Suppliers shall minimize consumption of energy and water resources through conservation, reuse/recycling, and substitution methods, and maximize the use of renewable energy.
7 職業(yè)健康與安全
7 Occupational Health and Safety
遵守法律法規(guī)及體系認(rèn)證:供應(yīng)商應(yīng)當(dāng)遵守運營所在地及國家健康與安全相關(guān)法規(guī),并鼓勵按照通用的行業(yè)標(biāo)準(zhǔn),例如ISO 45001等,建立全面的職業(yè)健康與安全管理體系;
防護(hù)用品:供應(yīng)商應(yīng)提供適合所從事工作的勞動防護(hù)用品、安全防護(hù)設(shè)施、安全工具、設(shè)備和車輛。安全設(shè)施、防護(hù)裝備,降低工作場所內(nèi)的健康與安全風(fēng)險;
職業(yè)病防護(hù)機(jī)制:供應(yīng)商應(yīng)建立機(jī)制,對作業(yè)場所存在的職業(yè)危害因素進(jìn)行預(yù)判、識別、評估和控制。供應(yīng)商應(yīng)依法對從事接觸職業(yè)病危害因素作業(yè)的員工進(jìn)行職業(yè)健康監(jiān)護(hù);
安全培訓(xùn):供應(yīng)商應(yīng)為員工提供必要的職業(yè)健康和安全培訓(xùn)和定期體檢,保障其員工安全。
Compliance and Certification: Suppliers shall comply with local and national health and safety regulations. Establishing comprehensive occupational health and safety management systems according to industry standards like ISO 45001 certification is encouraged.
Protective Equipment: Suppliers shall provide appropriate labor protection equipment, safety facilities, tools, equipment, and vehicles to mitigate workplace health and safety risks.
Occupational Disease Prevention: Suppliers shall establish mechanisms to predict, identify, assess, and control occupational hazards in workplaces. Health monitoring for employees exposed to occupational hazards shall be conducted as required by law.
Safety Training: Suppliers shall provide necessary occupational health and safety training and regular physical examinations to ensure employee safety.
